1. Agreement to Terms

By accessing or using the website qoridigital.com ("Site") or engaging Qori Digital ("we," "us," or "our") for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our Site or services.

2. Services

Qori Digital provides web design, search engine optimization (SEO), local SEO, copywriting, and related digital marketing services. The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate written proposal, contract, or statement of work ("Service Agreement") agreed upon by both parties.

3. Client Responsibilities

When engaging our services, you agree to:

• Provide timely and accurate content, assets, credentials, and feedback as needed for your project
• Respond to requests for approval or input within reasonable timeframes as outlined in the Service Agreement
• Ensure you have the rights to all content, images, and materials you provide to us
• Maintain accurate and current billing and contact information

4. Intellectual Property

Work Product

Upon full payment, you own the final deliverables (website code, copy, and design assets) created specifically for your project, unless otherwise stated in the Service Agreement. We retain the right to showcase the work in our portfolio and marketing materials.

Pre-Existing Materials

We retain ownership of any pre-existing tools, frameworks, templates, code libraries, and methodologies used in the creation of your deliverables. You receive a non-exclusive, perpetual license to use these components as part of your delivered project.

Third-Party Assets

Your project may include third-party assets (fonts, stock images, plugins, SaaS integrations) that are subject to their own license terms. We will inform you of any third-party dependencies and associated costs. You are responsible for maintaining valid licenses for third-party assets after project delivery.

5. Payment Terms

• Payment terms, schedule, and amounts are defined in the Service Agreement
• Unless otherwise agreed, a deposit is required before work begins
• Late payments may result in paused work and may incur late fees as specified in the Service Agreement
• Refunds, if applicable, will be handled according to the terms specified in the Service Agreement

6. SEO Disclaimer

SEO involves optimizing your website and online presence to improve search engine visibility. While we use industry best practices and data-driven strategies, we do not guarantee specific rankings, traffic levels, or revenue outcomes. Search engine algorithms are controlled by third parties (Google, Bing, etc.) and are subject to change without notice. Results vary based on competition, industry, content quality, domain authority, and many other factors beyond our control.

7. Website Hosting and Maintenance

If we provide hosting or ongoing maintenance as part of our services:

• We will make reasonable efforts to maintain uptime but do not guarantee uninterrupted availability
• We are not liable for downtime caused by third-party hosting providers, DNS issues, or force majeure events
• You are responsible for maintaining backups of your website content unless backup services are included in your Service Agreement

8. Limitation of Liability

To the maximum extent permitted by law, Qori Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to our services or this agreement.

Our total liability for any claim arising out of or related to our services shall not exceed the total amount paid by you to us in the 6 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Qori Digital from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) content or materials you provide to us; (b) your use of the delivered work product; (c) your violation of any third-party rights; or (d) your breach of these Terms.

10. Project Cancellation and Termination

• Either party may terminate the Service Agreement with written notice as specified in that agreement
• If you cancel a project in progress, you are responsible for payment for all work completed up to the cancellation date
• Upon termination, we will provide you with all completed deliverables and transfer any credentials or access within a reasonable timeframe
• Deposits are non-refundable unless otherwise stated in the Service Agreement

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, login credentials, analytics data, pricing, and any materials marked as confidential. This obligation survives the termination of services.

12. Use of This Website

When using our Site, you agree not to:

• Use the Site for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Site
• Scrape, copy, or reproduce our content without permission
• Interfere with or disrupt the Site's operation

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the State of Florida.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our Site or services after changes constitutes acceptance of the revised Terms.
